A merger happens whenever two or more businesses join forces to establish a new company. A merger is the joining of two businesses to produce a new one. An acquisition occurs when one corporation or investing team purchases another. Companies consolidate for operational objectives such as cost reductions, removing overlapping activities, enhancing purchasing power, expanding customer base, or lowering competitiveness. Other motivations include desired firm expansion, expanded product lines, and the quick addition of new markets, technologies, or managerial abilities. Another reason for combining is financial restructuring, which involves decreasing expenses, selling off units, terminating personnel, and refinancing the firm to raise its value to stakeholders.

Microsoft Acquires Nuance

The acquisition deal between Nuance and Microsoft was signed in April 2021. It was scheduled to finish by the end of 2021. The longer-than-expected timetable indicates increased regulatory monitoring of technology transactions. Established in the Boston region, Nuance has a significant influence in the Seattle location due to multiple acquisitions, namely VoiceBox, Swype, Tweddle, Varolii, and Jott. Last year, Nuance purchased Saykara, a Seattle health-tech firm that creates a digital assistant for physicians. According to Microsoft, the purchase of Nuance could lead to innovative solutions that mix voice, artificial intelligence, and cloud technologies for industries such as health, retail, telecom, and finance applications.  After overcoming their final regulatory obstacle, Microsoft finalized its $19.7 billion takeovers of speech technology business Nuance Communications. With combined security-focused, cloud-based products coupled with strong, vertically optimized AI and driven by a shared vision to produce outcomes-based AI, Microsoft and Nuance would empower enterprises across sectors to advance their business objectives. Clients would gain from an increased customer, patient, physician, and staff experiences and higher efficiency and financial results.

Microsoft disclosed its acquisition of the firm in April 2021. Still, it hit a hiccup in December when British antitrust officials started inquiring whether it would amount to a “significant decrease of competition” in the British market. The British agency confirmed that the transaction had been approved. While Nuance is mainly recognized for its activities in the medical care vertical, it also maintains a foothold in a variety of Microsoft’s various main sectors, including financial products, retail, and telecoms. Microsoft intends to leverage Nuance’s technology to create more “vertically focused AI” products. Nuance is an artificial intelligence (AI) business specializing in speech recognition and associated applications and services. Microsoft purchased Nuance for $19.7 billion. Over the last year, Microsoft has rebranded several of its corporate and cloud services and merged several similar items into Microsoft-branded suites, including its privacy-management solutions under the “Microsoft Priva” name.


Merging acquisitions is an art as well as a science. Acquirers frequently misjudge the expense and logistic difficulties of integrating the activities of merging firms with widely disparate philosophies. As a result, companies might struggle to retain key workers, maintain sales teams selling, and keep consumers satisfied. Companies will constantly look for acquisition targets, but the underlying financial rationale for combining must be compelling. Companies would be well to weigh their choices before plunging their money into the giant acquisition slot machine they can find. Many purchasers pay a price that effectively eliminates the merger’s whole potential economic advantage in their haste to close a deal.
